For all companies registered in the UK, it is a legal requirement to have (i) a Registered Office and (ii) such an Office has to be located within the country.

Registered Office is meant to be the legal or official address of your business. As far as the state authorities are concerned, it is where your company resides. Registered Office is the location where government agencies such as the Registrar of Companies and Inland Revenue as well as courts send all official documents, correspondence, notices and reminders to the company directors and, when delivered at the official address, such communication is automatically deemed to have been received by them.

You cannot have more than one Registered Office for the same company. However, you are totally free to run your day-to-day trading activities and manage the company from any other location in the UK or even in the world. In other words, it is not mandatory that you conduct your business activities or routine administration from the Registered Office of your company.

The Registered Office is only meant for receiving official government correspondence and to act as a place where interested members of the public – creditors, potential business partners, etc. – can come and exercise their right to inspect certain registers and documents related to your company as well as deliver documents in person.

Obviously, the Registered Office has to be an effective and living physical address – not merely a box at the post office – where somebody should be present at all times to receive your mail as well as be the custodian of some documents of your company that any citizen has the right to inspect.

Providing a fixed address for Registered Office can be a problem for entrepreneurs who want to start in a small way. Some may not want their home address on public record at the Companies House. Others may not be allowed to use their current address for business purposes as per the terms of their lease.

Quite a few entrepreneurs live on rent and are not sure when they may have to move out bag and baggage. Then there are non-residents who want to start a company in the UK and need to provide a local UK address for their Registered Office as mandated by the law.

How Fields Can Help

No matter what your compulsions as a budding entrepreneur or overseas resident are to have a Registered Office Address separate from your trading address, Fields can relieve you of the burden. We can act as your Registered Office for a very reasonable annual fee and provide you with a world-class mail-forwarding service.

All official mail received by us in your company’s name from the Registrar of Companies, the Inland Revenue Service, other state agencies and the courts will be promptly and quickly forwarded to you by first class post. However, please note that this facility does not cover trade mail and you cannot use our address for receiving routine business or general correspondence.

The benefit of having Fields as your Registered Office is that you not only acquire a prestigious and secure address in the UK for as long as you want, but you also rest assured that all your official and legal mail will be received and promptly forwarded to you without any delay.

We understand that all your official correspondence and notices received at the Registered Office requires your immediate attention. That is why we have put very efficient internal procedures in place to ensure that there are no mix-ups or delays in processing your mail and everything functions like clockwork. The receipt of all mail and couriers in your name is overseen by an experienced manager who enters them in the log and immediately makes arrangements to despatch them to you by first-class post.

Anytime in future, if you want to change your Registered Office Address because you have zeroed in on a location of your own, we can for a very competitive fee take care of all the paperwork and get the new address registered on your behalf at the Companies House.

Fields is currently trusted by hundreds of companies to act as their Registered Office. It is one of the most respectable and efficient Registered Office Addresses you can have in the UK.
